1. About These Terms

1.1 Who We Are

1.3 These Terms

These terms and conditions ("Terms") govern all sales of products through our website www.mainnet.uk. By placing an order, you agree to be bound by these Terms.

1.4 Business and Consumer Customers

Some provisions apply differently to consumers (individuals buying for personal use) and business customers. Where relevant, we clearly indicate which terms apply to each customer type.

2. How Contracts Are Formed

2.1 Product Listings

Our website displays products available for purchase. Product listings constitute an "invitation to treat" rather than an offer to sell.

2.2 Placing Your Order

When you submit an order, you are making an offer to purchase products subject to these Terms. We may accept or decline your order at our discretion.

2.3 Order Confirmation

You will receive an order acknowledgement email confirming receipt of your order. This is NOT acceptance of your order.

2.4 Contract Formation

A legally binding contract is formed only when we send you a dispatch confirmation email. For custom-built systems, the contract is formed when we send a build commencement notification. Until then, we may cancel your order for any reason, including:

  • Product unavailability
  • Pricing errors
  • Credit check failure (B2B customers)
  • Suspected fraud
  • Export control restrictions

3. Pricing and Payment

3.1 Prices

Consumers: All prices include VAT at 20% unless otherwise stated.

Business Customers: Prices are shown excluding VAT. VAT will be added at checkout.

3.2 Price Changes

We may change prices at any time. The price you pay is the price shown at the time you place your order.

3.3 Pricing Errors

Despite our efforts, pricing errors may occur. If we discover an error in the price of goods you've ordered:

  • We will inform you as soon as possible
  • Give you the option to reconfirm at the correct price or cancel
  • If we cannot contact you, the order will be cancelled

3.4 Payment Methods

We accept:

  • Credit/Debit cards (Visa, Mastercard, Amex)
  • Apple Pay / Google Pay
  • Bank transfer (B2B orders over £1,000)
  • Credit accounts (approved B2B customers only)

3.5 Payment Security

All payments are processed securely through Stripe. We are PCI DSS compliant and do not store your full card details.

3.6 B2B Credit Terms

Approved business customers may apply for credit terms. Standard terms are 30 days net from invoice date. Credit checks will be performed.

3.7 Late Payment

For credit account customers, payment is due within 30 days of invoice date. Late payments automatically incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% plus Bank of England base rate per annum. We may also charge reasonable debt recovery costs as permitted by law.

4. Delivery

4.1 Delivery Areas

We deliver to mainland UK addresses. Highlands, Islands, and Northern Ireland may incur additional charges.

4.3 Risk and Title

Consumers: Risk passes when goods are delivered to you.

Business Customers: Risk passes when goods are delivered to your specified address (Incoterms DDP for UK mainland deliveries).

Title (ownership) passes only when payment is received in full.

4.4 Delivery Issues

You must inspect goods upon delivery. Report any damage or missing items within 48 hours (consumers) or 24 hours (business customers).

5. Your Rights - Consumers

5.1 Statutory Rights

As a consumer, you have rights under the Consumer Rights Act 2015. Products must be:

  • Of satisfactory quality
  • Fit for purpose
  • As described

5.2 14-Day Cooling Off Period

Under the Consumer Contracts Regulations 2013, you have 14 days to cancel most purchases. This period starts the day after you receive the goods.

5.3 Exceptions to Cancellation Rights

You cannot cancel orders for:

  • Sealed software or digital products once opened/downloaded
  • Custom-built systems made to your specifications (MAINNET Systems builds)
  • Hygiene-sealed products once opened (headphones, etc.)

5.4 How to Cancel

Email us at admin@mainnet.uk with your order number. You have 14 days from cancellation to return the goods at your cost.

5.5 Refunds

We will refund you within 14 days of receiving the returned goods or proof of return, whichever is earlier.

6. Your Rights - Business Customers

6.1 No Automatic Cancellation Right

Business customers do not have a 14-day cooling-off period. All sales are final unless goods are faulty.

6.2 Order Cancellation Before Dispatch

You may request to cancel an order for stock items before dispatch. We may accept at our discretion. No cancellation fee applies if cancelled within 2 hours of order placement. After 2 hours, we may charge a 15% cancellation fee if we have already begun processing your order.

6.3 Non-Cancellable Orders

The following B2B orders CANNOT be cancelled once component procurement or build process has commenced:

  • Custom-built servers, workstations, or configured systems (MAINNET Systems)
  • Configure-to-order (CTO) items
  • Special procurement items ordered specifically for you
  • Software licenses once keys are issued
  • Orders over £10,000 (unless agreed otherwise in writing)
  • Non-stock items with manufacturer lead times
  • End-of-life (EOL) products sourced specially
  • Items marked as "non-cancellable" at time of order

6.4 Returns and Restocking Fees

B2B Returns: We may accept returns of unopened, unused stock items within 7 days of delivery at our sole discretion. A 15% restocking fee applies to cover our supplier charges and administrative costs.

Return conditions:

  • Items must be unopened, unused, in original packaging with all seals intact
  • Returns must be requested within 7 days of delivery
  • Custom-built, configure-to-order, and special procurement items are non-returnable
  • Opened items may be refused or subject to additional fees
  • Customer responsible for return shipping costs

6.5 Inspection and Acceptance

You must inspect goods within 3 business days and notify us of any issues. Goods are deemed accepted after this period unless defects could not reasonably have been discovered during inspection.

6.6 Business Warranties

Business purchases come with manufacturer warranties only. We exclude all implied terms to the fullest extent permitted by law.

6.7 Custom Built and Configure-to-Order Systems (MAINNET Systems)

6.7.1 Scope
This section applies to all custom-built servers, workstations, and configured systems ordered through MAINNET Systems, including but not limited to:

  • Build-to-order (BTO) systems built from customer specifications
  • Configure-to-order (CTO) systems with customized components
  • Pre-configured MAINNET Systems models with customer modifications

6.7.2 Build Process and Timeline
Standard build time is 5-10 business days from build commencement. Build commencement occurs when:

  • Payment is confirmed (or credit terms approved)
  • Component procurement begins
  • You receive a "Build Commencement Notification" email

Lead times may be extended if specialized components require manufacturer lead times. We will notify you of any delays.

6.7.3 Cancellation Policy
Custom-built and configure-to-order systems CANNOT be cancelled once build commencement has occurred. This is because:

  • Components are procured specifically for your configuration
  • Specialized parts may be non-returnable to suppliers
  • Build resources are allocated to your order

You may cancel before build commencement without penalty by contacting us immediately.

6.7.4 Component Availability and Substitution
We reserve the right to substitute equivalent or superior components if specified parts become unavailable. Substitutions will:

  • Meet or exceed the original specification
  • Maintain compatibility with your configuration
  • Not increase the price
  • Be communicated to you before build completion where practical

If suitable substitution is not possible, we will contact you to discuss alternatives or offer a full refund.

6.7.5 Configuration Changes
Changes to specifications after build commencement:

  • May not be possible depending on build stage
  • May incur additional costs for component restocking or rush procurement
  • May extend delivery timelines
  • Must be requested in writing and confirmed by us

We will assess change requests on a case-by-case basis and provide a quote for any additional costs.

6.7.6 Testing and Quality Assurance
All custom-built systems undergo:

  • Component compatibility verification
  • POST (Power-On Self-Test) validation
  • 24-48 hour burn-in testing under load
  • Operating system installation and configuration (if ordered)
  • Final inspection and quality check

6.7.7 Delivery and Acceptance
Custom-built systems are delivered with:

  • Detailed build specification sheet
  • Test results and quality assurance documentation
  • All manufacturer warranty documentation
  • Component serial numbers for warranty purposes

You must inspect the system within 3 business days and report any issues. The system is deemed accepted after this period.

6.7.8 Returns and Warranty
Custom-built systems are non-returnable except for:

  • Manufacturing defects discovered within 30 days
  • Failure to meet agreed specifications
  • Component failures covered under manufacturer warranty

We will repair or replace faulty systems at no cost. We do not offer refunds on custom builds unless we cannot remedy the issue.

6.7.9 Software and Operating Systems
If pre-installed software or operating systems are ordered:

  • Software licenses are non-refundable once activated
  • We provide basic installation only (not configuration services unless separately quoted)
  • You are responsible for software updates and licensing compliance
  • OEM software licenses are tied to the hardware and non-transferable

6.7.10 Incompatible Specifications
If you specify components that are incompatible:

  • We will contact you before procurement to suggest alternatives
  • We are not responsible for performance issues if you insist on incompatible specifications after being advised
  • We reserve the right to refuse builds that may cause damage or safety issues

7. Returns and Refunds

7.1 Faulty Products

If products develop a fault:

  • Within 30 days: Full refund or replacement
  • Within 6 months: Repair, replacement, or refund (our choice)
  • After 6 months: Repair or replacement if under warranty

7.2 Return Process

  1. Contact us for a Return Merchandise Authorization (RMA) number
  2. Package items securely in original packaging if possible
  3. Include all accessories, manuals, and software
  4. Ship to our returns address with RMA clearly marked

7.3 Return Conditions

Returned items must be:

  • Complete with all original components
  • In original packaging where possible
  • Not damaged through misuse

8. Warranties and Guarantees

8.1 Manufacturer Warranties

Most products come with manufacturer warranties ranging from 1-5 years. Check product descriptions for details. MAINNET Systems custom builds carry manufacturer warranties on all components.

8.2 Extended Warranties

We offer extended warranty options at checkout for additional protection beyond manufacturer coverage.

8.3 Warranty Claims

For warranty claims after 30 days, we may direct you to the manufacturer or handle the claim ourselves. For MAINNET Systems builds, we will coordinate manufacturer warranties on your behalf where possible.

8.4 What's Not Covered

  • Accidental damage or misuse
  • Modifications or unauthorized repairs
  • Normal wear and tear
  • Consumable items (batteries, fans, thermal paste, etc.)
  • Software issues (unless hardware-related)
  • Damage from improper installation or configuration

8.5 Warranty Process

Manufacturer warranties are handled either:

  • Direct: You contact the manufacturer directly for warranty support (we provide necessary documentation)
  • Through MAINNET: We submit warranty claims to manufacturers on your behalf and coordinate the process

We will provide reasonable assistance with warranty claims including RMA coordination and documentation. Warranty turnaround times are determined by the manufacturer. We are not responsible for manufacturer delays or warranty denials, but will advocate on your behalf where appropriate.

For MAINNET Systems custom builds within the first 30 days, we handle all warranty issues directly with full replacement or repair at our discretion.

9. Liability

9.1 Consumer Liability

Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of your statutory rights

9.2 Business Customer Liability

For business customers, our total liability is limited to the order value. We exclude liability for:

  • Loss of profits or revenue
  • Loss of data
  • Business interruption
  • Consequential or indirect losses

9.3 Data Backup Disclaimer

We strongly recommend backing up all data before sending equipment for repair or service. We are not liable for any data loss during repair, warranty service, or troubleshooting processes.

9.4 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to component shortages, manufacturer delays, shipping disruptions, or natural disasters.

10. Intellectual Property

10.1 Website Content

All content on our website (text, images, logos) is our property or licensed to us. You may not use it without permission.

10.2 Trade Marks

Product names and brands are trademarks of their respective owners. MAINNET and MAINNET Systems are trading names of MAINNET LTD.

10.3 Product Descriptions

We try to ensure accuracy but manufacturers may change specifications without notice. We are not responsible for minor specification variations that do not affect functionality.

11. Privacy and Data Protection

11.1 Privacy Policy

Your personal data is processed according to our Privacy Policy.

11.2 Marketing Communications

You can opt out of marketing emails at any time using the unsubscribe link.

12. Export Controls

12.1 Export Restrictions

Some products are subject to UK export controls. You agree not to export controlled items without appropriate licenses.

12.2 Compliance

You confirm you are not subject to trade sanctions and will comply with all applicable export laws.

13. Dispute Resolution

13.1 Complaints

Please contact us first with any complaints. We aim to resolve issues within 5 business days.

13.2 Consumer ADR

13.3 Governing Law

These Terms are governed by English law. Courts of England and Wales have jurisdiction.

14. Business-Specific Terms

14.1 Business Accounts

To open a business account, you must provide:

  • Company registration number
  • VAT number (if applicable)
  • Trade references
  • Agree to credit checks

14.2 Retention of Title

For credit sales, we retain ownership of goods until paid in full. You must:

  • Store goods separately and identifiably
  • Maintain adequate insurance
  • Not resell or dispose of goods until paid in full
  • Allow us to reclaim goods if payment fails
  • Account to us for proceeds if goods are sold before payment

14.3 Set-Off

We may set off any amounts you owe us against amounts we owe you.

15. General Terms

15.1 Entire Agreement

These Terms constitute the entire agreement between us.

15.2 Severability

If any provision is invalid, the rest remain in effect.

15.3 Waiver

Failure to enforce any term is not a waiver of that term.

15.4 Assignment

You may not transfer your rights. We may assign our rights to another company.

15.5 Updates to Terms

We may update these Terms. The version in effect when you order applies to that order.
